Welcome to Connected Spaces LLC ("Connected Spaces," "we," "us," or "our"). These Terms and Conditions ("Terms") govern your access to and use of our website, platform, and services. By accessing our services, creating an account, or purchasing any subscription, you agree to be bound by these Terms.

Service Description

Connected Spaces is a digital development and AI innovation studio that provides fractional development services through subscription-based plans. Our services include:

  • Custom digital system development and maintenance

  • AI-powered workflow automation and integration

  • Strategic consulting and technical guidance

  • Project management and development coordination

  • Training and knowledge transfer for client teams

Subscription Services & Billing

Subscription Plans

We offer various subscription tiers (Starter, Growth, Pro, CMO+, CTO+) with different service levels and pricing. All subscription fees are charged monthly in advance and are non-refundable except as specifically outlined in Section 6.

Payment Processing

  • Payment Processor: All payments are securely processed by Stripe, Inc. We do not store your payment information on our servers.

  • Automatic Renewal: Subscriptions automatically renew monthly unless cancelled before the renewal date.

  • Currency: All prices are listed in USD unless otherwise specified.

  • Payment Authorization: By subscribing, you authorize us to charge your selected payment method for the subscription fee and any applicable taxes.

  • Failed Payments: If a payment fails, we will attempt to process it again. Repeated payment failures may result in service suspension.

Pricing Changes

We may modify our pricing with 30 days' advance notice. Existing subscribers will be notified via email and can cancel before the change takes effect if they do not agree to the new pricing.

User Accounts & Responsibilities

  • Account Security: You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account.

  • Accurate Information: You agree to provide accurate, current, and complete information during registration and to update it as necessary.

  • Prohibited Uses: You may not use our services for illegal activities, to violate third-party rights, or to distribute malicious software.

  • Compliance: You are responsible for ensuring your use of our services complies with all applicable laws and regulations.

Intellectual Property Rights

Client-Developed IP (12-Month Retention Policy)

  • Initial Ownership: For the first 12 months after development, Connected Spaces retains ownership of all custom code, systems, and intellectual property developed for your project.

  • Post-12-Month Transfer: After 12 months of continuous service, we will provide assistance in migrating your custom IP to your chosen platform, subject to technical limitations and compatibility requirements.

  • Migration Limitations: Migration assistance is provided on a best-effort basis and may not include all proprietary integrations, third-party dependencies, or custom AI model configurations.

  • Client Data Rights: You retain ownership of all data you provide to us. We will always provide your data in standard formats upon request.

Connected Spaces IP

  • Platform & Tools: Our core platform, development frameworks, and proprietary tools remain our exclusive property.

  • Code Reuse Rights: We retain the right to reuse general code patterns, methodologies, and non-client-specific solutions across projects, provided no confidential client data is included.

  • Improvements: Any improvements, modifications, or derivative works to our platform based on client feedback become part of our IP.

Cancellation & Refund Policy

Cancellation Rights

  • Cancel Anytime: You may cancel your subscription at any time through your account dashboard or by contacting our support team.

  • Service Continuation: Upon cancellation, your service will continue until the end of your current billing period. No additional charges will be made.

  • Data Access: You will have 30 days after cancellation to download your data before it is permanently deleted.

Refund Policy

  • 14-Day Money-Back Guarantee: New subscribers may request a full refund within 14 days of their initial payment for any reason.

  • Service Issues: Refunds for service disruptions or quality issues will be evaluated on a case-by-case basis.

  • Partial Refunds: We do not provide partial refunds for unused portions of monthly subscriptions.

  • Processing Time: Approved refunds will be processed within 5-10 business days to your original payment method.

Chargebacks: Initiating a chargeback without first contacting us may result in immediate service termination and account suspension.

Privacy & Data Protection

Data Collection & Storage

  • Minimal Data Collection: We collect only the data necessary to provide our services: name, email, subscription details, and project-related information.

  • No PCI Data Storage: Payment card information is handled exclusively by Stripe and is never stored on our servers.

  • Secure Storage: All client data is encrypted at rest and in transit using industry-standard protocols.

  • Data Retention: We retain client data only as long as necessary to provide services or as required by law.

Cookies & Tracking

  • Performance Cookies Only: We use cookies solely for website performance optimization, session management, and user authentication.

  • No Advertising Tracking: We do not use tracking cookies for advertising or behavioral targeting.

  • No Data Resale: We never sell, rent, or share your personal information with third parties for marketing purposes.

International Compliance

Service Availability

Our services are primarily designed for clients in North America (United States, Canada, and Mexico), where we maintain compliance with local regulations and business practices.

Regional Compliance

  • European Union (EU): For EU clients, we comply with GDPR requirements including data portability, right of erasure, and consent management.

  • Canada: We adhere to the Personal Information Protection and Electronic Documents Act (PIPEDA) for Canadian clients.

  • Mexico: We comply with applicable Mexican data protection laws including the Federal Law on Protection of Personal Data.

International Use

If you access our services from outside our primary service regions, you acknowledge that you are responsible for compliance with local laws and regulations. We make no representation that our services are appropriate or available for use in other jurisdictions.

Security & Service Reliability

  • Data Protection: We implement encryption, secure authentication, and regular security audits.

  • Access Controls: Strict access controls and employee background checks protect your information.

  • Third-Party Security: We work exclusively with security-certified vendors (Stripe, Google, MongoDB Atlas) that maintain SOC 2 compliance.

Service Level & Availability

  • Uptime Goal: We strive for 99.5% uptime but do not guarantee uninterrupted service.

  • Maintenance Windows: Scheduled maintenance will be announced with 24-hour advance notice when possible.

  • Support Response: We aim to respond to support requests within 24 hours during business days (Monday-Friday, 9 AM-5 PM EST).

Limitation of Liability & Warranties

Service Warranties

  • Professional Standards: We warrant that services will be performed in a professional manner consistent with industry standards.

  • No Additional Warranties: Except as expressly stated, services are provided "as is" without warranties of any kind.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • Our total liability for any claims is limited to the amount you paid us in the 12 months preceding the claim.

  • We are not liable for indirect, incidental, consequential, or punitive damages.

  • We are not liable for business interruption, lost profits, or data loss beyond our direct control.

  • We are not responsible for third-party services, integrations, or platforms beyond our direct control.

Governing Law & Dispute Resolution

Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

Dispute Resolution

  • Good Faith Resolution: We encourage resolving disputes through direct communication before formal proceedings.

  • Jurisdiction: Any legal proceedings will be conducted in Delaware state or federal courts.

  • Arbitration: For disputes under $10,000, either party may elect binding arbitration under American Arbitration Association rules.

Service Termination

Termination by Client

You may terminate your subscription at any time as outlined in the Cancellation & Refund Policy section above. Upon termination, you will retain access to completed work and have 30 days to download your data.

Termination by Connected Spaces

We may terminate accounts for violations of these Terms, illegal activity, non-payment, or at our discretion with 30 days' notice. In cases of immediate threat or legal violation, termination may be immediate.

Post-Termination

Upon termination, sections of these Terms regarding intellectual property, liability limitations, and governing law remain in effect.

Changes to Terms

We reserve the right to modify these Terms at any time. Significant changes will be communicated via email to active subscribers with 30 days' advance notice. Minor updates (such as clarifications or contact information) may be made immediately.

Continued use of our services after changes take effect constitutes acceptance of the updated Terms. If you do not agree to changes, you may cancel your subscription as outlined in the Cancellation & Refund Policy section above.

Miscellaneous

  • Entire Agreement: These Terms constitute the entire agreement between you and Connected Spaces regarding our services.

  • Severability: If any provision is found unenforceable, the remaining provisions remain in full force.

  • Waiver: Our failure to enforce any provision does not constitute a waiver of that provision.

  • Assignment: You may not assign these Terms without our consent. We may assign our rights and obligations.
